Alexander has 11 years of experience in economic law.Alexander manages our corporate and M&A practice. He is experienced in settlement of legal matters within consulting projects, audits. Alexander handles business and administrative disputes in courts of arbitration.
Alexander Ermolenko has all the required expertise in civil, corporate, administrative, labor and financial law. He has gained experience in resolving legal matters within consulting projects, audits and litigation in courts of arbitration and courts of general jurisdiction.
He has participated in working groups responsible for drafting legislative and normative acts:
• TACIS Insolvency II (Drafting normative acts on bankruptcy)
• Budget Accounting. Reporting and Audit (Analysis of the budget legislation of Russia’s constituent entities according to compliance with federal budget legislation)
• Project of the Center for Stock Market Development – Drafting the law “On Consolidated Financial Statements”. Developing a concept for introducing IFRS into Russia’s legal system
He has participated in the following projects (also as a manager):
• Building up a group structure in terms of management processes, fund-raising capacity, civil risk minimization and tax base optimization
• Reorganizing a branch network of Moscow’s municipal drugstores and setting up a unified trade pharmaceutical holding
• Developing alternatives for defending subsidiaries’ interests in the event of a hostile takeover
• Assessing risks related to the execution of titles to pledge agreements by creditors and risks related to the debtor’s bankruptcy. Open sales of pledges: arrangement and realization (as requested by clients)
• Assistance in privatization (corporatization): finding solutions to aggregated problems related to property not subject to privatization (state reserves, civil defence property)
• Working out alternatives and a step-by-step plan for relocating a Moscow-based production enterprise and constructing a new housing project on the site vacated
• Due diligence on a regional group with a network of supermarkets and trade centers in different cities
• Due diligence on a company holding titles to buildings and a plot of land
• Group structuring (both resident and non-resident companies) to streamline financial flows
• Developing step-by-step schemes and legal support for commercial banks acquisition
His service record includes over 8 years lecturing, since September 2004 – at the Moscow State Academy of Law and public speaking at seminars and conferences on different areas of legislation, including:
