On November 15-16 the 5th annual business forum “Corporate Lawyer-2010” arranged by Infor-media company took place in Moscow. A number of interactive discussions and round tables on current legal issues were held during the forum. FBK Legal was represented at the forum by Anna Grishchenkova, manager of corporate practice. She acted as moderator to interactive discussion “M&A, Restructuring and Business Development” she also delivered a report “Peculiarities of Post-Crisis M&A”.
Head of FBK-Legal Financial Investigations Practice, Alexander Sotov commented upon new trends in corporate raids in his interview to “Secret Firmy” magazine. “Business is a war again. However at the moments aggressors are not the odious professional raiders, heroes of the 90s. The new raiders are yesterday partners and co-founders, employed directors and banks devastating their best clients with great appetite”, the magazine writes.
FBK Legal concluded a contract with a non-profit partnership “General Directorate of International Movie Festivals “Interfest”. According to the contract FBK Legal lawyers will provide to “Interfest” company consulting services in the field of tax accounting.
FBK Legal Partner, Alexander Sotov commented in his interview to “Vedomosti” newspaper upon activities of the CEO of “Stolitsa” Group, lawyer, Denis Ignatov, who found a new way to counteract non-payers. According to the newspaper, he promises a bounty to anyone who provides information on the six debtors that did not return 1,3 billion RUR to banks and leasing companies.
Head of FBK Legal Corporate Practice, Alexander Ermolenko in his interview to “Expert” magazine commented upon appearance of the first financial ombudsman in Russia — Pavel Medvedev. As the magazine reminds, at the end of September six banks (Raiffeisen Bank, Home Credit and Finance Bank, OTP Bank, GE Money Bank, National Bank Trust and Uniastrum Bank) concluded an agreement on public reconciliatory or financial ombudsman.
On September 29, 2010 annual M&A Forum, arranged by The Moscow Times was held in Moscow. FBK Legal acted as a partner of the event. Head of FBK Legal Corporate Practice Alexander Ermolenko presented to the conference attendees a report on topic “Case-study: Post-Crisis M&A Experience”. He noted that recently a number of transactions between creditors and debtors has increased. “In such situation two issues remain vital: how to purchase the debtors business with minimum expenses and how to use it efficiently thereafter”,
“The new CEO is appointed by the instruction of Dmitry Medvedev and not by the decision of the head of the government, so it looks somehow strange”, commented in his interview to “Kompamiya” head of FBK Legal’s corporate practice, Alexander Ermolenko. According to him, talks about resignation are a powerful leverage for influencing the head which might be used for different purposes. As Ermolenko noted, traditionally, such campaigns occur before the beginning of the political season.
In her interview to Secret Firmy magazine, FBK’s tax and legal partner, Nadezhda Orlova stated that she does not approve of the reform launched this fall to result in establishing monopoly of attorneys at law on rendering legal and litigation services. The expert noted that such limitations must not be introduced. “Such systems are similar to monopolies or private clubs. They can not positively affect competition development, hence the quality of legal services in Russia.”
FBK Legal’s chief legal advisor, Natalya Resnyanskaya comments in her interview to Izvestiya newspaper the federal law dated April 12, 2010 # 61 FZ “On Turnover of Pharmaceuticals” which became effective on September 1, 2010. According to it now any vitally important medicine has its final price which pharmacies have no right to exceed.
Head of FBK Legal’s financial investigations practice, Alexander Sotov in his interview to BFM.ru portal commented upon The Ministry of Healthcare and Social Development being suspected to be in plot with the major suppliers of pharmaceuticals. According to the data of analysts from apparatus of Vice- Premier, Igor Sechin, the department denies the companies not engaged in agreed-upon activities the access to the bidding while applying procedures providing procuring pharmaceuticals for budget money practically without bidding.
