Due diligence is an examination of business activity of the company over the entire period of its existence (with some limitations). The examination is conducted in the following areas:

  • Checking compliance with corporate legislation current corporate practice of the company (general meeting of shareholders (participants), board of directors, executive bodies).
  • Analysis of constitutive documents of the company. Identification of opportunities for current leadership to manage the assets of the company within a short period of time after transferring of company shares to a new owner.
  • Checking compliance with legislation deals on acquisition of shares of the company. Verification of powers (legality of acts) of founders on creation of the company and formation its share capital. Checking compliance with legislation foundation, registration, issuance of shares and payment of share capital of the company.
  • Analysis of essential operations on acquisition and disposal of assets, as well as perfection (challengeability) of titles (rights) to capital (essential) assets of the company.
  • Checking the intellectual property rights of the company (trademarks, patents, copyrights).
  • Analysis of licenses and permits available to the company. Pending restrictions/revocation of licenses by reason of failure to meet statutory requirements and restrictions imposed on the licenses/permits.
  • Checking compliance with applicable law in the normal course of business including:
  •                >  Checking compliance with licensing law;
  •                >  Checking compliance with antitrust law;
  •                >  Checking compliance with corporate law;
  •                >  Checking compliance with labor law;
  •                >  Checking compliance with intellectual property law;
  • Analysis of contracts with main partner contractors;
  • Analysis of claims and pending litigation.
